    Job Description

    Job title: Senior Company Secretarial Assistant – 12 Month FTC

    Location: Stirling Square, London OR Frimley, Surrey with occasional travel between sites. We offer a range of hybrid and flexible working arrangements – please speak to your recruiter about the options for this particular role.

    Salary: Negotiable depending on experience

    What you'll be doing:

    Governance:

    • Draft procedural notes for company secretarial tasks on an ongoing basis
    • Assist the production of the Annual Report
    • Support the collation of ESG data and provide responses to questionnaires such as the Global Reporting Initiative, Carbon Disclosure Project, Dow Jones Sustainability Index etc
    • Support the provision of secretarial support to the Banking Committee
    • Support subsidiary boards as required, including the collation and dissemination of papers through Boardvantage and minute taking
    • Support ad hoc governance projects

    Compliance:

    • RNS – issue of standard Stock Exchange announcements, e.g. directors' dealings, major shareholder holdings, directorate changes
    • FCA – filing PDMR associated FCA notifications

    Share Registration:

    • Ensure the smooth management of the Company's share register, including the payment of dividends, shareholder correspondence etc
    • Maintain accurate records of the Group's share capital
    • Develop and maintain relationships with external vendors such as the share registrar
    • Leading various share registration modernisation projects

    Your skills and experiences:

    • Prior experience of working in a UK listed company secretariat department is crucial with proven company secretarial experience
    • Understanding of a regulatory environment within a PLC
    • Self-motivated, highly organised, process driven and has good attention to detail
    • Qualified or Part qualified with the CGI (Chartered Governance Institute)

    The Legal Team:

    This role sits within our Head Office Legal function reporting into the Deputy Company Secretary. We are currently a team of nine and you will be supporting various BAE Systems key stakeholders up to board level, in a role where every day is different!

    The role offers a broad range of company secretarial duties and provides the opportunity to work with very interesting people. Additionally, there are opportunities for exposure to exciting projects across our business along with a lot of scope to develop your career. The position would suit a professional individual who has proven experience dealing with senior executives.
